Welcome to Utkal Codeworks. These Terms and Conditions explain the rules for using our website and engaging us for digital services.
Please read them carefully before submitting an enquiry, approving a quotation or asking us to begin work. By using this website or purchasing our services, you agree to the terms that apply to you.

Logo and brand identity design

Website maintenance, hosting assistance and technical support
In these Terms, “Utkal Codeworks,” “we,” “our” and “us” refer to Utkal Codeworks. “Client,” “you” and “your” refer to the person or organisation using our website or purchasing our services.
You accept the applicable Terms when you:
Use this website
Submit an enquiry or project request
Approve a quotation, proposal or project scope
Pay an advance or project invoice
Ask us to begin providing a service
A quotation, proposal, invoice, email confirmation or separate service agreement may contain additional project-specific terms.
If a signed service agreement conflicts with these general Terms, the signed agreement will apply to that project.
We try to keep the information on our website clear, accurate and up to date. However, service descriptions, package features, prices, timelines and availability may change.
Website content is provided for general information and does not create a binding service commitment until we confirm the project through a written quotation, proposal or agreement.
Submitting an enquiry does not require either party to proceed with a project.
Before work begins, we may review your requirements and provide a quotation or proposal explaining:
Project scope and deliverables
Features included
Estimated timeline
Project fees and taxes
Payment schedule
Number of revision rounds
Support or maintenance included
Items excluded from the project
A quotation remains valid for the period mentioned in it. If no validity period is stated, it will remain valid for 15 days from its issue date.
We may revise a quotation if the requirements, scope, timeline or third-party costs change before the project is confirmed.
The agreed project scope will be based on the approved quotation, proposal, requirement document or service agreement.
Only the features and deliverables clearly mentioned in the approved scope are included. Any additional page, feature, integration, design variation or change requested later may require:
Additional charges
A revised delivery timeline
A separate quotation or change request
We will explain any significant additional cost before beginning the extra work.
To help us complete the project correctly and on time, you agree to:
Provide accurate project requirements
Supply content, images, logos and business information on time
Provide necessary access to domains, hosting, websites or third-party accounts
Review submitted work and provide clear feedback
Ensure that supplied materials can legally be used
Make payments according to the agreed schedule
Nominate an authorised person to approve work when representing an organisation
Keep passwords and account credentials secure
Delays in receiving content, access, approvals, feedback or payment may extend the project timeline.
We are not responsible for delays or errors caused by incomplete, inaccurate or late information supplied by the client.
You confirm that you own, have permission to use or are otherwise legally authorised to provide any:

Images
Videos
Logos
Trademarks
Documents
Data
Software
Other materials
You remain responsible for the legality, accuracy and ownership of materials you provide.
Utkal Codeworks is not responsible for copyright, trademark, privacy or other claims arising from client-supplied materials.
Any timeline provided is an honest estimate based on the information available when the quotation is prepared.
The timeline may change because of:
Changes to the approved scope
Delayed feedback or approval
Late delivery of content or access
Additional revision requests
Technical issues involving third-party platforms
Hosting, domain or server problems
Illness, emergencies or circumstances outside reasonable control
We will inform you when a significant delay becomes known and provide an updated estimate where reasonably possible.
Unless expressly agreed in writing, an estimated delivery date is not a guaranteed deadline.
Project communication may take place through email, phone, WhatsApp, video calls or another agreed platform.
You are responsible for checking the contact methods used for the project and responding within a reasonable period.
Approvals provided through email, WhatsApp or another agreed written communication method may be treated as project approval.
After you approve a design, page, feature or project stage, changes to that approved work may be treated as additional work.
The number of revision rounds included in a project will be stated in the quotation or package.
A revision means a reasonable adjustment to the approved design or content. It does not include:
A completely new design direction
Rebuilding an approved page
Adding new features
Changing the original business requirements
Replacing most of the approved content
Reworking completed functionality because the client’s process changed
Additional revisions or changes outside the agreed scope may be charged separately.
Unused revision rounds have no cash value and cannot be transferred to another project.
Project fees and payment milestones will be mentioned in the quotation, proposal or invoice.
Unless otherwise agreed, our standard payment schedule may be:
50% advance to confirm and begin the project
30% after the development preview or agreed milestone
20% before launch, transfer or final handover
All payments must be made using the payment method shown on the invoice.
Prices are generally quoted in Indian Rupees unless stated otherwise. GST or other applicable taxes may be added as required by law.
The project may be paused if a payment becomes overdue. Final files, source code, credentials or website transfer may be withheld until all outstanding amounts are paid.
An advance confirms your project and allows us to reserve development time, begin planning and allocate resources.
Once work has started, the advance may become partly or fully non-refundable based on:
Work already completed
Time already reserved
Resources purchased
Third-party costs incurred
The stage at which cancellation occurs
Any eligible refund will be handled according to our Refund and Cancellation Policy and the project-specific agreement.
If a project becomes inactive because we do not receive required content, feedback, access or approval, we may pause the project.
If there is no meaningful client response for 30 days, the project timeline and availability may need to be rescheduled.
If inactivity continues for 60 days or more, we may close the project after giving reasonable notice. Restarting a closed project may require a revised quotation, updated timeline or restart fee.
Payments for work already completed, time reserved and third-party purchases will not be refundable.
Either party may request cancellation by providing written notice.
The client remains responsible for:
Work completed before cancellation
Approved project stages
Time already spent
Non-refundable third-party purchases
Any other amount due under the agreement
We may suspend or terminate a project if the client:
Does not make agreed payments
Repeatedly fails to provide required information
Requests unlawful or harmful work
Uses abusive, threatening or inappropriate communication
Misuses our work or services
Seriously breaches the agreed terms
Where appropriate, we will provide reasonable notice and an opportunity to resolve the issue before terminating the project.
Domain names, hosting plans, premium themes, plugins, fonts, stock images, APIs, email services, payment gateways and other third-party services are not included unless specifically mentioned.
Third-party services are governed by their own terms, pricing, licences and privacy policies. Their providers may change features, prices or availability without our control.
Unless covered by a maintenance agreement, the client is responsible for:
Renewing domains and hosting
Renewing premium licences
Paying third-party subscription fees
Maintaining valid billing information
Following third-party service terms
Keeping account access secure
Utkal Codeworks is not responsible for downtime, data loss, account suspension, price changes or service failure caused by a third-party provider.
A website or application will normally be launched, transferred or handed over after:
The agreed work has been approved
Required content and access have been provided
Outstanding payments have been cleared
Any necessary third-party services have been activated
You should review the final website or application carefully before approving launch.
After handover, changes, maintenance, backups, security monitoring and ongoing support are not included unless mentioned in the package or covered by a separate maintenance agreement.
Until full payment is received, Utkal Codeworks retains ownership of the work created for the project.
After full payment, the client receives ownership or usage rights for the final custom deliverables described in the project agreement.
The following may remain owned by Utkal Codeworks or their respective third-party owners:
Pre-existing code and reusable components
Internal tools and development methods
Frameworks and libraries
Licensed themes and plugins
Fonts and stock assets
Open-source software
Third-party APIs and platforms
Unused concepts, drafts and design options
Third-party materials remain subject to their original licence conditions.
Unless confidentiality has been agreed in writing, we may display the completed project in our portfolio, case studies, social-media profiles or marketing materials.
We may mention:
The client or business name
Project category
Services provided
Publicly available screenshots
Technologies used
A link to the completed website
We will not intentionally publish confidential business information.
If you require the project to remain private, please discuss this before work begins so that confidentiality terms can be included in the agreement.
We may use AI-assisted tools to support research, planning, content preparation, development, debugging, testing and documentation.
AI helps improve efficiency, but final decisions and quality checks remain guided by human expertise.
AI-generated or AI-assisted material may require editing and verification. We do not guarantee that automated output will always be complete or error-free.
We will not intentionally submit passwords, private financial records or other highly sensitive client information to publicly accessible AI tools.
SEO and Google Business Profile services are intended to improve technical quality, content relevance and online visibility.
Search rankings and profile performance depend on many factors outside our control, including:
Search-engine algorithms
Competition
Business location
Website history
Content quality
Customer reviews
Platform policies
We do not guarantee:
First-page rankings
A particular search position
A top-three Google Maps position
Profile verification
A specific number of leads, visitors or sales
Google and other platforms make the final decisions regarding verification, indexing, ranking, suspension and visibility.
Website and blog content may be prepared using research, professional editing and AI-assisted tools.
You are responsible for checking and approving:
Business facts
Prices
Qualifications
Claims
Product details
Medical, legal, financial or technical statements
Industry-specific regulatory information
We do not guarantee particular search rankings, traffic, leads or sales from published content.
The number of logo concepts and revisions will depend on the selected package.
The client is responsible for conducting any required trademark search and registration before using a logo commercially.
Unless specifically included in writing, logo design does not include:
Trademark registration
Legal clearance
A guaranteed trademark search
Printing costs
Unlimited concepts or revisions
We cannot guarantee that a similar name, shape, colour combination or visual element has never been used anywhere in the world.
Maintenance services are available through a separate package or quotation.
Maintenance may include agreed activities such as:
Software updates
Backups
Content changes
Bug fixing
Security checks
Performance checks
Hosting assistance
Technical troubleshooting
Maintenance does not automatically include:
Complete redesigns
New features
Major content creation
Recovery from unsupported third-party changes
Problems caused by unauthorised modifications
Work beyond the purchased support hours
Unused monthly support hours do not carry forward unless otherwise agreed.
We take reasonable care while developing, maintaining or migrating websites. However, no website, hosting platform or security system can be guaranteed to be completely secure or continuously available.
After handover, the client is responsible for backups and security unless an active maintenance agreement assigns those responsibilities to us.
We are not responsible for loss caused by:
Weak or shared passwords
Client-side changes
Unauthorised access
Expired hosting or licences
Outdated software outside our maintenance responsibility
Third-party attacks or service failures
Failure to maintain backups after handover
Any post-launch bug-fixing or support period included with a project will be stated in the quotation.
A bug means an agreed feature does not work as described in the approved scope. It does not include:
A new feature request
A design preference changed after approval
Problems caused by third-party updates
Client or third-party modifications
Unsupported devices or outdated browsers
Hosting or server issues outside our control
Requirements that were not included in the approved scope
Work requested after the included support period may be charged separately.
You must not use our website or services to:
Break any applicable law
Infringe intellectual-property rights
Distribute malware or harmful code
Attempt unauthorised access
Send spam or fraudulent messages
Publish unlawful, abusive or misleading content
Create systems intended for fraud, harassment or illegal surveillance
Damage our website, systems or reputation
We may refuse work that appears unlawful, deceptive, harmful or unethical.
Our website may contain links to client websites, social-media platforms or other external resources.
These links are provided for convenience. We do not control or accept responsibility for third-party content, availability, security or privacy practices.
We aim to provide professional and reliable services. However, unless expressly stated in a written agreement, services and website information are provided without a guarantee that they will:
Be continuously available
Be completely free from errors
Meet requirements that were not disclosed
Produce a particular financial or business result
Remain compatible with every future third-party update
Nothing in these Terms removes any warranty or right that cannot legally be excluded.
To the extent permitted by law, Utkal Codeworks will not be responsible for indirect, incidental or consequential loss, including loss of:
Profit
Revenue
Business opportunities
Data
Reputation
Expected savings
Where liability cannot be excluded, our total liability relating to a project will generally be limited to the amount paid to us for the specific service that caused the claim.
This limitation does not apply where liability cannot legally be limited or excluded.
You agree to be responsible for claims, losses or expenses arising from:
Materials you provide
Your unlawful use of our services
Your violation of third-party rights
Your breach of these Terms
Instructions you provide that result in a legal claim
This section applies only to the extent permitted by applicable law.
Neither party will be responsible for a delay caused by events reasonably outside its control, including:
Natural disasters
Severe weather
Fire or flood
War or civil disturbance
Government restrictions
Internet or power failure
Major cyber incidents
Third-party platform outages
Serious illness or emergency
The affected party should communicate the delay as soon as reasonably possible.
Personal information collected through our website and project communications is handled according to our Privacy Policy.

We may update these Terms when our services, business practices or legal responsibilities change.
The revised Terms will be published on this page with an updated effective date. Changes will not normally alter an already signed project agreement unless both parties agree or the change is required by law.
These Terms are governed by the laws of India.
If a disagreement arises, both parties should first try to resolve it through good-faith discussion.
If the matter cannot be resolved informally, it will be subject to the appropriate courts in Bhubaneswar, Odisha, unless applicable law requires a different forum.
Nothing in these Terms limits any consumer right or remedy that cannot legally be excluded.
